Governing law

The laws of the Federal Republic of Germany apply, excluding the UN Convention on Contracts for the International Sale of Goods. Mandatory consumer-protection rules of your country of habitual residence remain unaffected.

Courts

Statutory venues apply. Where you are a merchant, a legal entity under public law or have no general venue in Germany, the courts competent for Bad Vilbel, Germany, are agreed.

These terms apply to the paid Prometheor plan for consumers and business users aged 18 or over with a billing address in the European Union or the United States. Consumers have the right of withdrawal described below.

The service

Prometheor connects the AI apps you use. An AI app you connect can hand a task to an agent app on one of your paired computers (for example Codex or Claude Code), follow its progress and get a checked result back. Prometheor keeps a short logbook per project with decisions, status changes and results.

Agents run on your own computers, in the apps you installed, with your own accounts at those AI providers. Their fees and terms apply separately and are not part of the Prometheor price. You decide which apps, computers, projects and folders an agent may use, and you can stop everything at any time.

Results are produced by AI models. Review them before you rely on them or let them act outside your computer. Prometheor is not legal, medical or financial advice.

Tax

Final prices. As a small business under Section 19 of the German VAT Act (UStG), no VAT is charged.

Region

Available to customers with a billing address in the European Union or the United States

Payment is by card through Stripe, in advance for each billing period. Stripe processes your payment details; Prometheor never sees your full card number. Invoices are available under Settings, Plan.

Free trial

New customers can try Prometheor free for 7 days, once per customer. A payment method is needed to start. Nothing is charged during the trial. If you do not cancel before the trial ends, the plan you chose starts automatically and its first period is charged at the end of the trial.

Fair use

Tasks and projects are unlimited for your own work. To protect the service, technical safeguards against abuse and runaway automation apply, for example how many tasks run at the same time and how many computers are paired. Normal use does not reach them. If your use puts the service at risk, we will contact you before we limit it.

Term, renewal and cancellation

The monthly plan renews every month and the yearly plan every year until you cancel. You can cancel at any time with effect at the end of the current period; you keep access until then and are not charged again.

If you are a consumer, after the first year a yearly plan continues for an indefinite period and you can cancel it at any time with one month's notice. We then refund the unused part of the prepaid year.

Cancel under Settings, Plan, with the Cancel subscription button, or by email to info@prometheor.com. You receive a confirmation with the date and time we received your cancellation. Both sides may cancel for good cause without notice.

We may change prices or these terms for the future. We tell you at least six weeks before a change takes effect; you can cancel before then. A price change never applies to a period you already paid for.

Right of withdrawal for consumers

You have the right to withdraw from this contract within 14 days without giving any reason. The withdrawal period is 14 days from the day the contract is concluded.

To exercise the right of withdrawal, you must inform us (Prometheor (Kian Peters), Johann-Gottlieb-Fichte-Straße 9, 61118 Bad Vilbel, Germany, info@prometheor.com) of your decision to withdraw from this contract by an unequivocal statement, for example with the Withdraw from contract button, by email or by letter. You may use the model withdrawal form below, but it is not obligatory. To meet the withdrawal deadline, it is sufficient that you send your communication before the withdrawal period has expired.

Effects of withdrawal

If you withdraw from this contract, we shall reimburse to you all payments received from you without undue delay and in any event not later than 14 days from the day on which we are informed about your decision to withdraw. We will carry out the reimbursement using the same means of payment you used for the initial transaction, unless you have expressly agreed otherwise; you will not incur any fees as a result. If you requested to begin the performance of services during the withdrawal period, you shall pay us an amount which is in proportion to what has been provided until you informed us of your withdrawal, in comparison with the full coverage of the contract. The free trial days are never charged.

Account and acceptable use

You must use your own provider account, keep it secure, admit only data you may lawfully process, obtain any required third-party consent and promptly report suspected compromise.

You must not probe another tenant, evade rate limits, upload secrets or harmful content, use Prometheor for regulated or high-risk decisions, or attempt to turn Memory into execution authority.

User controls and termination

You can disconnect AI apps and computers, export your logbook, correct or delete entries and delete your account at any time from Account. Active content is purged under the published retention schedule. Content-free audit, tombstone, incident and legally required records may remain for their stated period.

Either side may end the contract as described under Term, renewal and cancellation. Prometheor may suspend access without notice only where required to contain a security, abuse or legal risk, and tells you why. When the contract ends or you delete your account, active content is purged under the published retention schedule. The sections on warranty, liability, governing law and disputes survive termination.

Warranty and availability

There is no uptime service-level agreement. Prometheor is developed continuously; we do not warrant uninterrupted availability, error-free operation, or that AI results are complete or correct. Review results before you rely on them. Statutory warranty rights, including those of consumers for digital services, remain unaffected.

Liability and disputes

Prometheor is liable without limitation for intent and gross negligence, for injury to life, body or health, under a guarantee and under mandatory product-liability law. For slight negligence Prometheor is liable only for the breach of essential contractual duties (cardinal duties), limited to the typical and foreseeable damage. You remain responsible for backups of your data and for what agents do on your computers with the access you grant them.

Please contact info@prometheor.com first; Prometheor aims to resolve any dispute directly within 14 days. German law applies as stated above and the statutory venues apply for consumers. Prometheor is neither willing nor obliged to take part in dispute-resolution proceedings before a consumer arbitration board (§ 36 VSBG).
